Omnilst Referral Member Program — Terms & Conditions

1. About This Program

This Referral Member Program (“Program”) is operated by Omnilst, a company registered and operating in the United Arab Emirates (“Company”, “we”, “us”, or “our”). The Program allows approved individuals (“Referral Member”, “Member”, or “you”) to earn commission by promoting Omnilst’s platform using a unique personal coupon code, directing customers to purchase paid listings.

Participation is entirely voluntary. By registering you confirm that you have read, understood, and agreed to these Terms in full. We may update these Terms at any time by posting changes on our website or notifying you by email. Continued participation after any update means you accept the revised Terms.

2. Who Can Join

To participate in this Program you must:

Be at least 18 years of age, or the legal age of majority in your country of residence, whichever is higher.

Submit a registration application through omnilst.com. Omnilst will review your application and may approve or decline it at its sole discretion, based on factors including your promotion methods, audience, and compliance history.

Omnilst may request additional information or documents to verify your eligibility at any time. Failure to provide these promptly may result in suspension or termination of your participation.

3. No Employment or Agency Relationship

Referral Members are fully independent individuals. Participation in this Program does not create any employment relationship, commercial agency, partnership, joint venture, franchise, or any other form of legal or business association between the Member and Omnilst under UAE Federal Labour Law or any other applicable legislation.

Members are not employees, agents, legal representatives, or contractors of Omnilst in any capacity. Omnilst does not supervise, direct, or control how Members promote their coupon code. Members have no authority to make commitments, representations, or agreements on behalf of Omnilst.

Nothing in this Program shall be interpreted as creating any rights or obligations beyond those explicitly stated in these Terms.

4. Your Unique Coupon Code

Upon approval, each Member receives one unique personal coupon code generated automatically by our platform. Customers must apply this code at checkout for a commission to be recorded.

Your coupon code is strictly personal and non-transferable. You may not sell, lend, or give your code to another person to operate as their own. Only one coupon code is issued per Member. Only one coupon code may be applied per customer transaction.

Referral links are also available. These will attempt to apply your coupon code automatically if the tracking cookie is active. The tracking cookie begins when a customer clicks your referral link and remains active for 30 days. If no purchase is completed within 30 days of the click, the cookie expires and no commission is earned. Omnilst is not responsible for commissions lost due to cookie expiration or browser settings.

We use a last-click attribution approach. This means that if a customer clicks more than one referral link, the commission is attributed to the most recent click.

5. Commission

Members earn a commission of 20% on the net revenue of each qualifying sale completed by a customer using their coupon code or referral link.

Net revenue means the revenue from a referred sale after discounts, excluding chargebacks, refunds, credits, payment processing fees, taxes, and shipping costs.

Qualifying sales means initial purchases made by new customers referred through your unique tracking code. Repeat purchases, upsells, and customers already in an active sales process with Omnilst do not qualify unless otherwise confirmed by Omnilst in writing.

Commission is only earned on verified and fully completed transactions. No commission is payable on cancelled, refunded, or disputed transactions. If a transaction is refunded or a chargeback occurs after commission has been credited, the equivalent amount will be deducted from your available or pending balance.

Omnilst reserves the right to adjust the commission rate at any time without prior notice to Members.

6. How Referrals Are Tracked

Referrals are tracked primarily through your unique coupon code entered at checkout. If you also use a referral link, the system will attempt to apply your coupon automatically via tracking cookie.

Please note that commissions may not be recorded if tracking fails due to circumstances beyond our control, including the customer’s browser settings, ad blockers, cookie restrictions, or third-party software. Omnilst is not liable for commissions lost due to such technical issues.

7. Payout Threshold

Withdrawals are processed once your account balance reaches the minimum payout threshold of AED 1,000. Balances below this threshold roll over to the following payment cycle and continue to accumulate. Omnilst does not pay interest on held balances.

Omnilst reserves the right to update the payout threshold with prior notice to Members.

8. Payment

Payments are made on a monthly basis, processed within 30 days following the end of each calendar month in which the threshold was reached.

Payments are made by bank transfer or such other method as specified by Omnilst at the time of registration. You are solely responsible for providing accurate and current payment details. Omnilst accepts no liability for failed or delayed payments resulting from incorrect information provided by you.

Commissions are held for a 30-day refund review period following each sale before being credited as available balance. Omnilst reserves the right to withhold or adjust commission payments for up to 180 days after a sale in cases involving refunds, chargebacks, suspected fraud, or breaches of these Terms.

If a chargeback or refund occurs after payment has already been issued, Omnilst reserves the right to deduct the equivalent amount from future commission payments.

9. Taxes

Members are solely and independently responsible for understanding and meeting all tax obligations applicable to their commission earnings, including any income tax, VAT, or other government charges under the laws of their country of residence. Omnilst does not withhold, deduct, or remit tax on behalf of any Member and will not provide tax advice. Members are encouraged to seek independent professional tax guidance.

10. Promotion Guidelines

Members must promote Omnilst honestly, professionally, and in compliance with all applicable laws. Specifically:

You must clearly disclose your referral relationship in all promotional content where required by applicable law or regulation.

You may promote competing products or services provided that such promotion does not misrepresent Omnilst’s offerings or violate these Terms.

You may use Omnilst’s trademarks for approved promotional purposes only. You may not use Omnilst’s name, logo, or trademarks in domain names, social media handles, or paid advertisements targeting Omnilst’s brand terms without prior written approval from Omnilst. Unauthorised use may result in immediate termination and legal action.

You must only use promotional materials provided or approved in writing by Omnilst.

11. Prohibited Activities

The following are strictly prohibited. Violation will result in immediate account termination, forfeiture of all pending commission, and may result in legal action:

Sending unsolicited messages, spam, bulk emails, or any other unsolicited communications to promote your coupon code.

Using deceptive, false, or misleading advertising or making false claims about Omnilst, its platform, or the earning potential of this Program.

Bidding on Omnilst’s brand terms in paid search or social media advertising without prior written approval.

Promoting on websites or platforms that contain illegal, offensive, or explicit adult content.

Using social media paid advertisements without prior written approval from Omnilst.

Using Omnilst’s trademarks in domain names or social media handles.

Engaging in click fraud, incentivised clicks, or the use of automated bots or scripts to generate clicks or referrals.

Sharing Omnilst coupons or discounts on coupon aggregator websites without prior written approval.

Promoting through malware, adware, or any other harmful software.

Creating sub-referral structures or recruiting other referral members on behalf of Omnilst. This Program operates on a single-tier basis only.

Any attempt to manipulate, falsify, or exploit the coupon, referral link, or commission tracking system.

Any conduct that violates applicable UAE law or any other applicable law or regulation.

12. Data Privacy

Members must comply with all applicable data protection and privacy laws when handling any personal information in connection with their promotional activities, including UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL) and any other applicable legislation. Omnilst is not liable for any Member’s failure to comply with data protection obligations.

13. Intellectual Property

Omnilst is and shall remain the sole and exclusive owner of all intellectual property rights relating to its platform, brand, content, trademarks, and services. Omnilst grants each Member a limited, non-exclusive, non-transferable, and revocable licence to use Omnilst’s approved promotional materials solely for the purpose of promoting the platform during the term of their participation in the Program. This licence ends immediately upon termination of your participation for any reason.

14. Member Obligations & Representations

By registering and on a continuing basis, each Member represents and warrants that:

They are legally permitted to enter into and perform these Terms under the laws of their country of residence.

All information provided to Omnilst is accurate, complete, and will be kept up to date.

They will comply with all applicable laws and regulations in connection with their participation in the Program.

Their promotional activities do not and will not infringe any third-party rights.

15. Indemnification

Each Member agrees to indemnify, defend, and hold harmless Omnilst and its officers, directors, employees, and representatives from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to the Member’s participation in the Program, breach of these Terms, negligence, wilful misconduct, or violation of any applicable law.

16. Disclaimer

Omnilst makes no representation or guarantee that participation in this Program will result in any specific level of earnings. Commission is only paid on verified, completed, qualifying transactions. Any financial gains or losses resulting from a Member’s promotional activities are entirely the Member’s own responsibility.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Omnilst shall not be liable to any Member for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunity, data, goodwill, or reputation, even if Omnilst has been advised of the possibility of such damages.

The total aggregate liability of Omnilst to any Member under this Program, whether in contract, tort, or otherwise, shall not exceed the total commission paid by Omnilst to that Member in the 12 months immediately preceding the event giving rise to the claim.

18. Force Majeure

Neither party shall be liable for any delay or failure to perform their obligations under these Terms due to causes beyond their reasonable control, including natural disasters, acts of war, government actions, power failures, or technology failures, provided that the affected party notifies the other promptly.

19. Reporting & Dashboard

Members will have access to a dashboard to track clicks, referrals, and commission earnings. Omnilst is not responsible for delays or inaccuracies in dashboard data due to technical issues.

20. Duration & Termination

These Terms begin when your application is approved and continue until terminated by either party.

By you: You may withdraw from the Program at any time by providing 30 days written notice to support@omnilst.com.

By Omnilst: Omnilst may terminate any Member’s participation at any time, with or without reason, including for breach of these Terms, suspected fraud, inactivity, or conduct that poses a risk to Omnilst’s reputation.

Inactivity: If no qualifying referrals are recorded for 6 consecutive months, Omnilst may terminate your participation at its discretion.

Upon termination you must immediately stop using all coupon codes, referral links, and Omnilst promotional materials. Pending commissions below AED 1,000 will not be paid upon termination by the Member. If Omnilst terminates the Program entirely or terminates a Member without cause, valid earned commissions will be reviewed and paid after a final verification period.

21. Non-Assignment

Members may not assign, transfer, delegate, or subcontract any of their rights or obligations under these Terms without the prior written consent of Omnilst. Any attempt to do so without consent shall be null and void.

22. Non-Exclusivity

This Program does not create an exclusive relationship. Omnilst remains free to operate similar programs with other individuals or entities. Members remain free to promote other products and services provided they do not misrepresent Omnilst’s offerings or violate these Terms.

23. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai.

24. Language

These Terms are issued in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
